Terms & Conditions
1. Acceptance of Terms
These Terms of Service (“Terms”) form a binding agreement between you (“User”, “you”, or “your”) and Futuuri Oy (“Futuuri”, “we”, “us”, or “our”), a company registered in Finland with address Hämeenkatu 9, 20500 Turku, Finland.
By accessing or using our websites (futuuri.co), cloud platform, APIs, demo environments, or any related services (collectively, the “Services”), you agree to these Terms. If you represent an organization, you bind that organization to these Terms.

Clinical deployments are governed by separate customer agreements, Data Processing Agreements (DPAs), or Business Associate Agreements (BAAs) that supplement these Terms .
2. Description of Services
Futuuri provides explainable AI systems for medical imaging analysis, including:
- Cloud-based processing of anonymized DICOM studies
- Generation of structured findings and explainability reports
- Integration with PACS/RIS systems and clinical workflows
- Demo environments and API access for evaluation
Services expect fully anonymized data. Futuuri does not store, process, or return patient-identifiable information .
3. Eligibility and Accounts
3.1 Eligibility
You must be at least 18 years old and legally authorized to enter contracts. Healthcare professionals must comply with applicable licensing and professional standards.
3.2 Account Registration
Certain Services require account creation. You agree to:
- Provide accurate information
- Maintain account security
- Notify us of unauthorized access
We may suspend or terminate accounts for violations.
4. License Grant
4.1 Limited License
Subject to these Terms, Futuuri grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription or agreement.
4.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Services
- Copy, modify, or create derivative works except as permitted by law
- Use Services beyond licensed capacity or scope
- Attempt to access non-public areas or data
- Use Services for competing AI development without written permission
5. Your Content and Data
5.1 Input Data
You are solely responsible for:
- Ensuring all imaging data is fully anonymized before upload
- Content accuracy, legality, and compliance with healthcare regulations
- Obtaining necessary consents and authorizations
Futuuri processes only anonymized data as instructed.
5.2 Output Ownership
You own the outputs generated by our Services (analysis results, reports, heatmaps), subject to our limited license to use anonymized outputs for service improvement under written agreement .
5.3 Our Rights
You grant Futuuri a worldwide, royalty-free license to use anonymized Input Data and usage metrics solely to:
- Provide and improve Services
- Develop models under explicit customer agreements
• Comply with legal obligations
6. Subscriptions and Payments
6.1 Subscriptions
Services are provided via subscription plans (monthly/annual) or usage-based pricing as specified in your order form.
6.2 Billing
- Fees are non-refundable except as stated
- Paid in advance via approved methods
- Late payments accrue 1.5% monthly interest
6.3 Trials
Free trials convert to paid subscriptions unless cancelled. Trial data may be used for service improvement.
7. Clinical Use and Disclaimers
7.1 Not Medical Advice
Services are clinical decision support tools only. Outputs are not:
- Medical diagnoses or treatment recommendations
- Substitutes for professional clinical judgment
- Guaranteed to be accurate or error-free
Healthcare providers must validate all outputs independently .
7.2 Performance
We aim for high availability but provide no uptime guarantees for demo/trial Services. Enterprise deployments include specific SLAs in customer agreements .
8. Intellectual Property
8.1 Our IP
Services, models, algorithms, and underlying technology remain Futuuri’s exclusive property. No IP transfers except the limited license above.
8.2 Feedback
You grant us a perpetual, royalty-free license to use feedback or suggestions for product improvement.
9. Confidentiality
Each party will protect the other’s Confidential Information (technical data, business plans, pricing) and use it only for Services-related purposes. This survives termination for 5 years.
Exclusions: Information that is public, independently developed, or legally required to disclose.
10. Representations and Warranties
10.1 Your Warranties
You represent that:
- You have rights to all Input Data
- Your use complies with laws and professional standards
- You will anonymize data as required
10.2 Our Warranties
Services will materially conform to documentation. Except as stated, Services are provided “AS IS”.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- No consequential, indirect, special, or punitive damages
- Direct damages capped at 12 months’ fees paid
- No liability for clinical decisions or patient outcomes
This survives termination .
12. Indemnification
You agree to indemnify Futuuri against claims arising from:
- Your Input Data or use of outputs
- Violations of these Terms or laws
- Clinical decisions based on Services
13. Termination
13.1 Term
Subscriptions continue until terminated.
13.2 Termination Rights
- Either party may terminate for material breach (30 days’ notice to cure)
- We may suspend for non-payment or abuse
- Upon termination: Access ends; you must delete our data
13.3 Survival
Sections 4.2, 5, 8, 9, 10.2, 11-15 survive termination.
14. Governing Law
Finnish law governs, with exclusive jurisdiction in Turku District Court. EU users retain mandatory consumer protections.
15. General Provisions
- Entire Agreement: These Terms (plus customer agreements) constitute the full agreement
- Severability: Invalid provisions don’t affect others
- No Waiver: Failure to enforce doesn’t waive rights
- Assignment: We may assign; you may not without consent
- Force Majeure: Excused for events beyond control
